Monografie analyzuje problematiku řízení a správy obchodních korporací jak na půdě právních předpisů, které ji upravují, tak na půdě „soft law“, tj. kodexů správy a řízení společnosti. Problematikou se zabývá široce, tj. věnuje pozornost nejen soukromoprávním aspektům řízení a správy společností, ale i aspektům trestněprávním a zabývá se i specifiky společností "s účastí státu".

The monograph analyzes the corporate governance of comercial corporations both on the basis of the legal regulations that regulate it and on the basis of "soft law", i.e. corporate governance codes. It deals with the issue broadly, i.e. it pays attention not only to private law aspects of company corporate governance, but also to criminal law aspects and also deals with the specifics of „state owned“ companies.
