Článek se zabývá ochranou důvěrných informací v obchodním zastoupení. Postupně objasňuje obecný význam této problematiky (včetně jejích principiálních východisek), poukazuje na její evropské souvislosti (směrnice Rady 86/653/EHS o koordinaci právních předpisů členských států týkajících se samostatných obchodních zástupců, ustanovení o obchodním zastoupení, franchisingu a distribučních smlouvách v Návrhu společného referenčního rámce, vybrané evropské vnitrostátní právní předpisy) a zejména podrobně rozebírá speciální úpravu povinnosti obchodního zástupce zachovávat mlčenlivost, jak je zakotvena v § 2491 občanského zákoníku. Rozbor zahrnuje subjekt povinný ochranou, předmět ochrany a její rozsah, obsah ochrany, její standard, časový rozsah a důsledky jejího porušení; navrhuje rovněž některá smluvní řešení této problematiky.

The article deals with the protection of confidential information in commercial agency. It progressively clarifies the general meaning of this issue (including its principle bases), indicates its European context (Council Directive 86/653/EEC on the coordination of the laws of the Member States relating to self-employed commercial agents, provisions on commercial agency, franchising and distribution contracts in the Draft Common Frame of Reference, selected European domestic laws) and, in particular, analyses in detail the special regulation of the commercial agent’s duty of confidentiality, as enshrined in Section 2491 of the Czech Civil Code. The analysis includes the body obliged by the protection, the object of the protection and its scope, the content of protection, its standard, its time range, and the consequences of its violation; also suggests some contractual solutions to this problem.
